1. Agreement to Terms

Welcome to GovBid. These Terms of Service ("Terms") govern your access to and use of the GovBid platform at govbid.com.au ("Service"), operated by GovBid ("we", "our", or "us").

By accessing or using GovBid, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

GovBid is an AI-powered tender management platform that helps Australian businesses:

• Discover government tender opportunities from AusTender and other portals
• Analyse tender requirements and scoring criteria
• Generate draft bid responses using artificial intelligence
• Manage tender documents and team collaboration

3. Account Registration

To use GovBid, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access

You are responsible for all activities that occur under your account.

4. Subscription and Payments

4.1 Free Trial

New users may be eligible for a 7-day free trial. No credit card is required to start a trial. At the end of the trial period, you must subscribe to continue using paid features.

4.2 Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual basis. Prices are displayed in Australian Dollars (AUD) and include GST where applicable.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You retain access until the end of your current billing period
• No refunds are provided for partial periods
• Your data remains available for 30 days after cancellation

4.4 Price Changes

We may change subscription prices with 30 days' notice. Existing subscribers will be notified of price changes before their next billing cycle.

5. AI-Generated Content

By using our AI features, you acknowledge that:

• You are solely responsible for reviewing and editing all generated content
• You must verify that responses meet tender requirements before submission
• AI may produce errors, inaccuracies, or inappropriate content
• We do not guarantee success in any tender process
• Final submission decisions rest entirely with you

6. User Content and Documents

6.1 Your Content

You retain all ownership rights to documents, data, and content you upload to GovBid ("User Content"). By uploading User Content, you grant us a limited licence to process, store, and use this content solely to provide the Service.

6.2 Acceptable Use

You agree not to upload content that:

• Infringes on intellectual property rights
• Contains confidential information you are not authorised to share
• Is false, misleading, or defamatory
• Violates any applicable laws or regulations

6.3 Responsibility

You are responsible for ensuring you have the right to upload and use any content in connection with the Service, including any tender documents or company information.

7. Tender Data

GovBid aggregates publicly available tender information from AusTender and other government portals. We strive to provide accurate and timely information, but:

• We do not guarantee the completeness or accuracy of tender listings
• Always verify tender details on the official government portal
• Tender deadlines and requirements may change without notice
• We are not responsible for missed opportunities due to data delays

8. Limitation of Liability

To the maximum extent permitted by law:

• GovBid is provided "as is" without warranties of any kind, express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim
• We are not liable for unsuccessful tender bids, missed deadlines, or business losses

9. Indemnification

You agree to indemnify and hold harmless GovBid and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your User Content
• Your tender submissions made using the Service

10. Intellectual Property

The GovBid platform, including its software, design, logos, and content (excluding User Content), is owned by GovBid and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

11. Termination

We may suspend or terminate your access to the Service if you violate these Terms or for any other reason at our discretion. Upon termination:

• Your right to use the Service ends immediately
• We may delete your account and data after 30 days
• Provisions that should survive termination will remain in effect

12. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of GovBid after changes take effect constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Australia. Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law that cannot be excluded, restricted, or modified.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
